1. Parties · पक्षकार
This mutual Non-Disclosure and Confidentiality Statement (“NDA”) is between:
- Anjani Prakashan, a proprietorship of Nandlal Shaw, 25, Dr. Kartick Bose Street, Baithakkhana, Kolkata - 700009, West Bengal, India (“Anjani Prakashan”, “we”, “us”); and
- the Client — any author, publisher, institution, company or individual who shares material with us for, or receives a quotation for, our services (“Client”, “you”).
Each party is the “Disclosing Party” for information it shares and the “Receiving Party” for information it receives. The same promises apply to both.
2. Purpose · उद्देश्य
Anjani Prakashan provides book publishing, printing, book and magazine design, annual-report design, Hindi/English/Bengali typing and DTP, and book marketing and selling services. To deliver them, clients share unpublished manuscripts, designs, data and other material with us, and we share quotations, pricing and working files with clients. The Purpose of this NDA is to make sure that this information is used only to evaluate, quote for and carry out the services, and is otherwise kept confidential.
3. When it applies · कब से लागू
This NDA applies automatically from the earlier of:
- the date the Client first shares any material with us — through a form on this website, by email, WhatsApp, post or in person; or
- the date the Client signs or accepts a quotation or agreement from us.
No separate signature is needed. If you would like a signed copy for your records, ask us and we will sign a printed copy of this statement with you.
4. What is confidential · गोपनीय जानकारी
“Confidential Information” means any non-public information shared for the Purpose, in any form — written, electronic, oral or visual — whether or not it is marked “confidential”. In particular:
- Client material: unpublished manuscripts and drafts, typing source documents, artwork, photographs, illustrations, cover and interior designs, magazine content before publication, annual-report text, figures and financial data, business plans, and personal details of authors, contributors or staff.
- Anjani Prakashan material: quotations and pricing, cost sheets, design templates and working files, supplier and printer details, and our production methods.
5. Obligations · दायित्व
Each Receiving Party will:
- keep the Confidential Information secret and protect it with at least reasonable care — no less than it uses for its own confidential information;
- use it only for the Purpose, and not for any other book, design, client or business;
- share it only with its own staff, freelancers or service partners (for example the printing press that prints your book) who need it for the Purpose and who are bound to keep it confidential;
- not publish, sell, distribute, upload to any public place or otherwise disclose it to anyone else without the Disclosing Party’s prior written consent (email or WhatsApp is enough);
- tell the other party promptly if it becomes aware of any unauthorised use or disclosure.
In particular, Anjani Prakashan will not publish, print or distribute a Client’s work except as approved by the Client, will not reuse a Client’s designs or content for anyone else, and will not show a Client’s work as a sample in its portfolio or marketing without the Client’s written permission. Manuscripts and files uploaded through this website are stored privately on our server and are never placed on a public page or link.
6. Exceptions · अपवाद
These obligations do not apply to information that:
- is or becomes public without a breach of this NDA — for example, the content of a book after it is published with the Client’s approval (unpublished parts and working files stay confidential);
- the Receiving Party already lawfully knew, or lawfully receives from someone else without a duty of confidentiality;
- the Receiving Party develops independently, without using the Confidential Information;
- the Disclosing Party approves for release in writing; or
- must be disclosed by law, court order or a government authority — in which case only the required part is disclosed and, where lawful, the other party is told first. Details given to agencies for a service the Client requests (such as an ISBN application) are shared with the Client’s consent for that purpose.
7. Ownership and no licence · स्वामित्व
- All Confidential Information remains the property of the Disclosing Party. The Client’s manuscripts and material — and their copyright — remain the Client’s. Anjani Prakashan claims no ownership of them.
- Sharing information under this NDA does not grant any licence or right to use it except as needed for the Purpose. Anjani Prakashan’s templates, tools and methods remain its own.
- The Client confirms that it has the right to share the material it sends us, and remains responsible for its content.
8. Return or destruction · सामग्री की वापसी या नष्ट करना
When the project ends, or earlier on written request, the Receiving Party will return or delete the other party’s Confidential Information, except:
- copies it must keep to meet legal, tax or accounting requirements;
- copies in routine backups, which are deleted in the normal backup cycle; and
- final print-ready files that the Client asks Anjani Prakashan to keep for corrections or reprints.
Any copy that is kept remains confidential under this NDA.
9. Duration · अवधि
The confidentiality obligations continue during the project and for five (5) years after the last disclosure or the end of the project, whichever is later. For unpublished manuscripts and for personal data, they continue for as long as that information remains unpublished or confidential.
10. Electronic files and security · इलेक्ट्रॉनिक फ़ाइलें और सुरक्षा
Material is stored electronically on our email, computers and website server. We take reasonable security measures to prevent unauthorised access, leaks or hacking. No electronic system is completely secure; if, despite reasonable care, information is exposed through a criminal act such as hacking, we will inform the Client promptly and help limit the harm. How personal data is handled is described in our Privacy Policy.
11. Remedies and liability · उपाय और दायित्व
- A breach of this NDA may cause harm that money alone cannot fix, so the affected party may ask a court for an injunction to stop it, in addition to any other remedy available in law.
- Except for deliberate disclosure, and to the extent permitted by law, Anjani Prakashan’s liability under this NDA is limited to the amount paid by the Client for the services concerned, and neither party is liable for indirect or consequential loss.
12. Relation to other documents · अन्य दस्तावेज़
This NDA works together with our Terms and Conditions and any quotation or agreement for the project. If a signed agreement contains its own confidentiality terms, the stricter terms apply. Any change to this NDA for a specific project must be in writing and agreed by both parties. If any part of it is found invalid, the rest remains in effect.
13. Governing law and jurisdiction · लागू कानून
This NDA is governed by the laws of India. Any dispute arising from it is subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal.
